Delays in providing materials, access, feedback, approvals, or payments may affect the project timeline. BlackShine Technologies is not responsible for delays caused by missing client input or third-party issues outside our control.

Payments and Invoices

Payment terms will be stated in the relevant proposal, invoice, agreement, or written communication. Unless otherwise agreed, payments must be made according to the approved payment schedule.

BlackShine Technologies may pause work, withhold deliverables, restrict access, or delay launch if invoices are unpaid or payment terms are not followed.

Refunds and Cancellations

Fees paid for strategy, consulting, design work, development work, setup, planning, research, third-party tools, advertising setup, automation setup, or completed project phases are generally non-refundable unless otherwise stated in writing.

If a client cancels a project after work has started, the client may still be responsible for fees related to work already completed, time spent, resources allocated, or third-party costs incurred.

Project Timelines

Any timeline provided is an estimate unless stated otherwise in writing. Timelines may change due to project complexity, client delays, revision requests, technical issues, third-party platforms, payment delays, or changes in scope.

Revisions and Approvals

Revision terms will be defined by the project scope. Feedback must be clear, consolidated, and submitted within a reasonable timeframe. Once work is approved or delivered, additional changes may be treated as new work and may require additional fees.

Content, Assets, and Accuracy

Clients are responsible for ensuring that all content, images, logos, documents, claims, product information, prices, contact details, service descriptions, and legal statements they provide are accurate and lawful.

BlackShine Technologies is not responsible for legal claims, copyright issues, incorrect business information, misleading statements, or compliance issues related to client-provided materials.

Intellectual Property

Upon full payment, clients may receive ownership or usage rights to final approved project deliverables as defined in the project agreement. BlackShine Technologies may retain rights to internal processes, concepts, frameworks, templates, code libraries, methods, strategy documents, design systems, and pre-existing intellectual property.

Drafts, rejected concepts, unused designs, development methods, and internal working files remain the property of BlackShine Technologies unless agreed otherwise in writing.

Third-Party Tools and Platforms

Many digital services depend on third-party platforms such as WordPress, hosting providers, payment gateways, CRMs, plugins, APIs, analytics tools, advertising platforms, email services, automation platforms, social media platforms, and search engines.

BlackShine Technologies is not responsible for outages, policy changes, price changes, account restrictions, data loss, bugs, security issues, or service interruptions caused by third-party providers.

SEO, Marketing, and Performance Results

We aim to improve visibility, performance, conversion structure, and digital growth systems. However, we do not guarantee specific rankings, revenue, leads, traffic levels, ad results, platform approval, search engine placement, or business outcomes.

SEO, advertising, marketing, and automation performance can be affected by competition, budget, market demand, platform algorithms, customer behavior, website history, industry conditions, and factors outside our control.

Website Security and Maintenance

Unless a maintenance or security plan is active, clients are responsible for ongoing website updates, plugin management, hosting, backups, monitoring, security, content updates, and technical maintenance after project delivery.

BlackShine Technologies is not responsible for issues caused by outdated software, weak passwords, client edits, third-party plugin conflicts, hosting problems, malware, unauthorized access, or lack of maintenance.

Portfolio and Case Study Use

Unless agreed otherwise in writing, BlackShine Technologies may reference completed work, project visuals, brand names, screenshots, results, or project descriptions in its portfolio, website, sales material, case studies, and social media.

Clients may request confidentiality before project publication or portfolio use.

Confidentiality

We respect confidential business information shared during a project. Both parties agree to handle confidential information responsibly and not disclose sensitive business information unless required to complete the project, comply with law, or with permission.

Limitation of Liability

To the maximum extent permitted by applicable law, BlackShine Technologies shall not be liable for indirect, incidental, consequential, special, punitive, or business-loss damages, including loss of revenue, loss of profits, loss of data, loss of reputation, platform restrictions, or service interruptions.

Our total liability for any claim related to services shall not exceed the amount paid by the client for the specific service giving rise to the claim, unless otherwise required by law.

You agree to indemnify and hold harmless BlackShine Technologies from claims, damages, liabilities, costs, or expenses arising from your misuse of our services, violation of these terms, unlawful content, client-provided materials, third-party claims, or breach of applicable laws.

Termination

BlackShine Technologies may suspend or terminate services if a client fails to make payments, violates agreed terms, delays essential approvals, provides unlawful material, misuses our work, or engages in abusive, fraudulent, or harmful behavior.
